Agreement to these terms
These Terms of Service (“Terms”) are a binding agreement between you and PILEANOVA, a simplified joint-stock company (SAS) incorporated in France with share capital of €200, registered with the Paris Trade and Companies Register (RCS Paris) under number 943 186 478, whose registered office is at 60 rue François 1er, 75008 Paris, France (“PILEANOVA”, “we”, “us”, “our”), which operates the verticast service. By creating an account or using verticast, you agree to these Terms. If you do not agree, do not use the service.
The service
verticast is a cross-posting tool for short-form vertical video. You upload one video, write a shared caption (with optional per-platform overrides), choose any combination of TikTok, Instagram Reels, and YouTube Shorts, and publish immediately or schedule for later. verticast is deliberately limited to those three platforms and to short-form vertical video.
Eligibility and accounts
You must be at least 16 years old and able to form a binding contract to use the service. You agree to provide accurate information and to keep your account credentials secure. You are responsible for all activity that happens under your account.
Your content
You keep all ownership of the videos, captions, and other content you upload or create with the service (“Your Content”). You grant us a limited, worldwide, non-exclusive licence to host, store, process, and transmit Your Content solely to operate the service and to publish it to the platforms you select. This licence ends when you delete the content or close your account, except for copies we must retain to meet legal obligations.
You are solely responsible for Your Content and you represent that you have all rights needed to publish it, including any rights in music, footage, trademarks, or the likeness of people who appear in it.
Connected platform accounts
When you connect a TikTok, Instagram, or YouTube account, you authorise us to act on your behalf to publish the content you ask us to publish. Your use of each platform remains subject to that platform’s own terms and policies.
We are not responsible for the platforms’ decisions, availability, or changes. A platform may reject, delay, restrict, or remove your content, change its APIs, or suspend your account, and we have no control over that.
Acceptable use
You must use verticast in line with our Acceptable Use Policy, which is part of these Terms. In short: do not use the service to publish illegal, infringing, or abusive content, and do not misuse or interfere with the service.
Subscriptions, billing, and refunds
verticast offers paid subscription plans. Fees, billing frequency, and what each plan includes are shown at the point of purchase. Payments are processed by our payment provider, Stripe.
- Subscriptions renew automatically at the end of each billing period until you cancel.
- You can cancel at any time; cancellation takes effect at the end of the current paid period, and you keep access until then.
- Fees are stated exclusive of taxes unless otherwise indicated; you are responsible for any applicable taxes.
- We may change our prices, and will give you reasonable notice before a change applies to your next renewal.
If you are a consumer in the EU, you have a statutory 14-day right of withdrawal for digital services. By starting to use a paid feature during that period, you ask us to begin the service immediately and acknowledge that you may lose the withdrawal right once the service has been fully performed. Except where the law requires otherwise, fees already paid are non-refundable.
Our intellectual property
The verticast software, website, branding, and content (other than Your Content) belong to PILEANOVA or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the service as permitted by these Terms. You may not copy, modify, reverse-engineer, or resell the service.
Service availability and disclaimer
We work to keep the service running reliably, but we provide it “as is” and “as available”, without warranties of any kind to the fullest extent permitted by law. We do not guarantee that the service will be uninterrupted, error-free, or that every publish to every platform will succeed.
Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages, or for lost profits, lost data, or content rejected or removed by a platform. Nothing in these Terms excludes liability that cannot be excluded by law, including your mandatory rights as a consumer.
Suspension and termination
You may stop using the service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or the Acceptable Use Policy, or where we are required to by law. On termination, your right to use the service ends and we may delete Your Content, subject to the retention periods in our Privacy Policy.
Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, notify you. Continuing to use the service after a change means you accept the updated Terms.
Governing law and jurisdiction
These Terms are governed by French law. The competent French courts have jurisdiction over any dispute, without prejudice to the mandatory protections available to you as a consumer in your country of residence. EU consumers may also use the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
